Notice is given that the 2025 Judo Federation of Australia (NSW) Inc ABN 58 406 097 608 Annual General Meeting (AGM) will be held Sunday 12 October 2025 at Meeting Room 5, Sports House Level 2/6B Figtree Drive, Sydney Olympic Park.

a.      Motion: That the Minutes of the previous Judo NSW AGM held 13^th October 2024 be confirmed.

a.      Motion: That the 2024/25 Financial Statements be received and accepted.

a)        Three (3) nominations were received by the required due date for four (4) vacant Elected Director positions.

In accordance with Clause 27.2 Where the number of nominations is less than the number of vacancies, the Chair shall declare all those nominated as elected unopposed and the remaining vacant positions shall be declared casual vacancies to be filled according to the requirements as set out in clause 34.

b)     As per Clause 34, notice is given of one (1) casual vacancy on the Board of Directors effective from the Annual General Meeting.

Nominations to fill this casual vacancy is hereby called under clause 34.2 and must be received within thirty (30) days of this notice. The Board may elect replacements from the nominations.

a. Special Resolution 1 – Amendment to Judo NSW Constitution

MOVED AS A SPECIAL RESOLUTION under clause 68 of the Constitution and section 10 of the Associations Incorporations Act 2009 (NSW) THAT the Constitution of Judo Federation of Australia (NSW) Incorporated be amended and replaced with the documents marked “A” and provided to members with the notice of general meeting.

b. Special Resolution 2 – Nomination for Life Membership

 MOVED AS A SPECIAL RESOLUTION under clause 8 of the Constitution THAT Denis Boyd (Samurai Judo Academy) be elected as a Life Member of the Judo Federation of Australia (NSW) Incorporated for services to Judo as outlined in the document marked “B” and provided to members with this notice of general meeting.

ELIGIBILITY FOR ATTENDANCE AT ANNUAL GENERAL MEETING (Judo NSW Constitution October 2020. Item 13)

13.1 Eligibility for participation at the Annual General Meeting is based on:

1. being a current:
   1. Representative of a Member Club; or
   2. Life Member of Judo NSW
2. As of:
   1. 30 July prior to the Annual General Meeting
3. And an independent scrutineer appointed to peruse the eligible member clubs.

13.2 Eligibility to observe at Annual General Meeting is based on:

1. being a current:
   1. Individual Member; or
   2. Associate Member of Judo NSW

The AGM shall have the power to elect officers and deal with any other matter that conforms with the Constitution and the Act. (Item 46.5)
